By accessing and using this website (the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Use between Affiliate Technologies and you, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.
2. This Site is controlled and operated by Affiliate Technologies (“Repurpose House”) from its offices within the United States. Affiliate Technologies makes no representation that materials in the Site are appropriate or available for use in other locations, and access to them from territories where its contents are illegal, is prohibited. Those who choose to access this site from locations outside the United States are responsible for compliance with all applicable laws.

IP Ownership / Use license

1. The material provided on this Site is protected by law, including without limitation, United States Copyright law. The copyright in all material provided on this Site is held by Affiliate Technologies. Except as expressly permitted by Affiliate Technologies, none of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without the prior written permission of Affiliate Technologies or the copyright owner.
2. Permission is granted to you to download and use the materials on this Site for personal, non-commercial use only, provided you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials.

3. Disclaimer

1. 1. The materials on Repurpose House’s website are provided “as is”. Affiliate Technologies (“Repurpose House”) makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Affiliate Technologies (“Repurpose House”)does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations

1. In no event shall Affiliate Technologies (“Repurpose House”) or its suppliers be liable for any damages (including, without limitation, negligence, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on repurpose house’s internet site, even if repurpose house or an Affiliate Technologies (“Repurpose House”) authorized representative has been notified orally or in writing of the possibility of such damage. 
2. Because some jurisdictions do not allow limitations on implied warranties or limitations of liability for consequential or incidental damages, these limitations may not apply to you. In no event shall the total liability of Affiliate Technologies (“Repurpose House”) under this agreement exceed fifty dollars ($50), regardless of the cause of action, in tort, contract, or otherwise.

5. Revisions and data errata

1. The materials appearing on Repurpose House’s website could include technical, typographical, or photographic errors. Affiliate Technologies (“Repurpose House”) does not warrant that any of the materials on its website are accurate, complete, or current.
2. Affiliate Technologies (“Repurpose House”) may make changes to the materials contained on its website at any time without notice. Repurpose House does not, however, make any commitment to update the materials.

1. Affiliate Technologies (“Repurpose House”) has not reviewed all of the sites linked to its Internet website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Affiliate Technologies (“Repurpose House”) of the site. Use of any such linked website is at the user’s own risk.

7. Site terms of use modifications

1. Affiliate Technologies (“Repurpose House”) may revise these terms of use for the Site at any time without notice. By using the Site, you are agreeing to be bound by the current version of these Terms and Conditions of Use.

Governing law

1. Any claim relating to Repurpose House’s website shall be governed by the laws of the State of Arizona without regard to its conflict of law provisions.

Feedback

1. Any material, information, or idea you transmit to or post on this Site by any means will be treated as non-confidential and non-proprietary, and may be disseminated or used by Affiliate Technologies (“Repurpose House”) or its affiliates for any purpose whatsoever, including developing manufacturing, and marketing products. Notwithstanding the foregoing, all personally identifiable information provided to Affiliate Technologies (“Repurpose House”) will be handled in accordance with Affiliate Technologies (“Repurpose House”) privacy policy. You are prohibited from posting or transmitting to or from this Site any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any other material that could give rise to any civil or criminal liability under the law.

Fees, Refunds and No-Risk Guarantee

1. You agree to pay the fees, in such amount and for such billing frequency as specified during registration, in full prior to any obligation of Repurpose House to perform under this Agreement. You further agree that, upon registering for the services through the Site, you authorize Affiliate Technologies (“Repurpose House”) to charge your method of payment (e.g. credit card) for the fee on each anniversary of your registration date, based upon your billing frequency (e.g. monthly, quarterly, annually). Payment of the fees shall be in such amounts and at such times as set forth by Affiliate Technologies (“Repurpose House”) through information provided to you and as authorized through the sign-up and registration process. Your account and access to the services provided via the Site may be suspended in the event of non-payment of applicable fees. You represent and warrant to Affiliate Technologies (“Repurpose House”) that such payment information is accurate and that you are authorized to use the payment instrument. You will promptly update your account information with any changes (for example, a change in your billing address or credit card expiration date) that may occur.
2. We offer a 14-day guarantee for monthly plans (not annuals) and do not allow refunds after the 14th day of your subscription.
3. All Content Curation and Premier fees are retainer-based. You, the client, are responsible for providing links to content and direction for our team to assess and repurpose. If content is not provided, the Content Curator will find content that they deem relevant to be repurposed and curate it. These repurposed assets will count toward your weekly Content Curation tickets and will not qualify for refunds or make-up tickets.
4. If our team cannot find content to repurpose that is relevant to your brand and messaging and they cannot receive links to content from you, they will not curate any tickets until direction and content are supplied. Since Content Curation is a retainer fee, you will not receive a refund or make-up tickets in place of curation that was not able to occur due to the lack of content supplied by you, the client.
5. You, the client, are responsible for using Affiliate Technologies (“Repurpose House”) after payment, and lack of use will not result in refunds or credit of any kind.

Annual Plans

1. Once payment goes through for an annual plan, there are no refunds available (our 14-day guarantee is for monthly plans only).
2. If a plan is canceled before 1 year, our team will continue to do work for you until the end of the billing cycle (that full year) but cannot give partial credit or refunds.
3. These plans are annually recurring (meaning at the end of the billing cycle you will automatically be charged again for year 2 at the annual rate during renewal).

Ownership, trademarks & provided assets

1. You own all final videos, graphics, and files we create during any month paid in full. We do not provide any working files such as .prproj or .psd files. You will provide all content/copy to be used for our assets under your Basic, Submit or Influencer Plan. You agree that any materials provided to are proofed and approved to be used in your assets and are not owned or trademarked by a different entity. You are responsible that any materials provided can be legally used in our assets. We are not liable for the materials you provide as it pertains to license or trademark issues and you represent to Affiliate Technologies (“Repurpose House”) that all materials provided do not infringe on the intellectual property rights of third parties.
2. Under the Content Curation solutions, Affiliate Technologies (“Repurpose House”) will be responsible for curating short clips up to 59 seconds in the content you provide, headlines for video memes and audiograms, text for image quotes, and thumbnail direction. You will have an onboarding meeting with a representative of Affiliate Technologies (“Repurpose House”) to guide the direction in which your content will be curated. Your content curator will use their best expertise and judgment to curate your content based on information and insight given on this call.
3. Under the Elite and Post solutions, Affiliate Technologies (“Repurpose House”) will be responsible for creating social media copy for the selected social media platforms chosen to be managed. Affiliate Technologies (“Repurpose House”) will also schedule posts on your behalf. All legalities and permissions expressed by the social media platforms chosen to be posted will apply. You will have an onboarding meeting with a representative of Affiliate Technologies (“Repurpose House”) to guide the direction in which your social media copy will be created. Your content curator will use their best expertise and judgment to create your copy based on information and insight given on this call.
4. The client will always have the opportunity to revise any social copy or schedule for any platform with 2 business days notice.
5. Affiliate Technologies (“Repurpose House”) does not guarantee any performance for any platform that they are responsible for posting to. Repurpose House will abide by industry best practices and approval by the client.
6. Subscriptions to stock photography or media are under a specific use license. Managed stock photography or assets (provided by Getty Images or other services) are licensed to be used in the specific graphic files created by Affiliate Technologies (“Repurpose House”) from a client request. Individual photos or assets will not be provided.
7. You agree to indemnify, defend, and hold harmless Affiliate Technologies (“Repurpose House”) and its affiliates, officers, members, managers, agents, successors and assigns (the “Indemnified Parties”) from and against all claims, demands, liabilities, damages, and costs including, without limitation, its reasonable attorneys’ fees, arising out of or relating to (i) your breach of any of the terms of this Agreement, (ii) your use of the services provided pursuant to the Site, and (iii) infringement of third party’s intellectual property rights or other proprietary rights.

Non-Abuse

1. If we find that you are not in alignment with our model, violate our core values, or are abusing our services or team in any way, including using our services for illegal or adult/pornographic we reserve the right to cancel your account.
2. Your right to use the Affiliate Technologies (“Repurpose House”) services shall terminate upon your breach of any term of this Agreement.

Output files

1. While we do our best to minimize any mistakes, due to the nature of creative design and video editing, we cannot guarantee all files delivered will be 100% error-free. Upon file delivery, you agree to review and proof all files for any errors or omissions and notify our team if any changes/corrections are needed. We will do our best to rush any edits to correct the mistakes. Affiliate Technologies (“Repurpose House”) is not responsible or liable for any losses or expenses incurred from errors or omissions.

Sample work

1. By default, you agree to provide Affiliate Technologies (“Repurpose House”) with a non-exclusive right and license to publish your work in our portfolio, social media or other communication efforts. We will do our best to seek written permission before we post anything publicly. If you would like to revoke this right, please notify our team in writing to hey@repurposehouse.com.

Confidentiality

1. We uphold confidentiality in all communication regarding your brand and business. We will only communicate to those who have been authorized on your account and will not share any information provided with anyone outside our organization, subject to our Privacy Policy.

Work and delivery output

1. The output of your assets are determined by the plan you signed up for as outlined below.
2. Starter: One asset delivery per business day. If you submit a fully completed ticket by 5pm PST, your first asset delivery will be by 8am PST the next business day. This means that if you submit one ticket and check multiple asset types to be delivered, you will receive one asset per business day. When all assets in a ticket are delivered your Content Hacker will move on to begin delivering assets from your next ticket in queue.
3. Submit: One asset in 2 aspect ratios per business day. If you submit a fully completed Submit form by 5pm PST, your entire asset delivery will be by 8am PST the next business day. This means that if you batch submit they will be addressed and delivered in the order they are received one business day at a time unless advised otherwise.
4. Plus: Our team will determine a delivery schedule during your on-boarding call and ensure that each ticket will be delivered 48 hours prior to the scheduled, agreed upon posting. This allows for revisions if necessary.
5. Elite/Post: The Content Curation team will write social media copy for all channels available and approved for posting and schedule them to your business social media profiles.

7. Affiliate Technologies (“Repurpose House”) is a retainer service. If you don't provide content or schedule onboarding, work cannot be done but billing will continue.
8. After your onboarding is complete, templates finalized & first content piece ready for review, it will take 10 calendar days for a post to go live on your social media.
9. There is a 2-business day approval period for social media copy & assets. After that window, posts will be automatically scheduled and only able to be cancelled, but not modified.
10. We cannot delete published social media posts.
11. We do not offer social media maintenance and cannot reply to comments, manage inbox, etc.
12. We will only schedule posts created through Repurpose House.
13. We need content 2 weeks in advance to publish it to your social on time.

Premier Content Delivery & Revisions (Plus, Curate, Post & Elite Clients)

1. When your team gives us long-form content that's approved to be curated, we expect to be able to work from it. If you no longer want us to curate from a piece of content that your team sent our way, we need a 2 week's heads-up that it should no longer be used. This is crucial because we work 2 weeks ahead at all times to ensure we have a queue built for your team. If we've already curated it, we will not be able to redo work for that week.
2. If you ask us to redo already-curated work with a new piece of long-form content from your team, it will not be able to count as a revision as we only curate content your team has already sent us to work from. Instead, the content will be pushed back to next week's queue.

Template Sets

1. Each plan comes with 3 template sets for setup. You are always able to purchase additional template sets to be used with your subscriptions and there is no cap on the amount you can purchase.
2. While we can do our best to accommodate specific needs and modifications to the template set, the assets included must be in line with the nature of the seven original assets provided by default.

2. Each Submission may only be used for one piece of repurposed content up to 59 seconds or 70 words. You may only submit one video, audio file, or text block per ticket to be repurposed.

Each typeform will ask for specific information to be provided, such as content location for download, in and out timecodes to trim the content, header copy, image quote copy, thumbnail details, and more. Repurpose House reserves the right to make adjustments to the ticketing form without notice and all fields requested will be required to be filled for a typeform to be added to the queue.

1. In the event materials are made available to this Site by third parties not within our control, we are under no obligation to, and do not, scan such content for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit materials known by us to infringe another party’s copyright to remain on the Site. If you believe any materials on the Site infringe a copyright, you should provide us with written notice that at a minimum contains:

We Are A Retainer Service

1. We are unable to make up any assets you do not submit content for. That's because Affiliate Technologies (“Repurpose House”) is a retainer service! This means if you don't submit content for us to repurpose, we are unable to repurpose your content.
2. You are also paired with one dedicated Graphic Designer on our team, meaning they have a certain number of hours to work on one client each day.
3. A great way to avoid missing any submissions is to batch submit. This means you can submit as many requests to us at once as you like, and we will return them based on the plan's speed you sign up for. For instance, if you sign up with our Influencer plan, we will deliver 1 submission back to you per business day.

Review the knowledge base

1. Finally, you agree that you’ve reviewed and understand the content within our knowledge base outlining details on how our service works and its scope of service.
